UUTECHNIC GROUP’S DIRECTED SHARE ISSUE CONCLUDED, ALL CONTRIBUTION-IN-KIND SHARES SUBSCRIBED TO

UUTECHNIC GROUP’S DIRECTED SHARE ISSUE CONCLUDED, ALL CONTRIBUTION-IN-KIND
SHARES SUBSCRIBED TO 

Plc Uutechnic Group Oyj today concluded its directed share issue intended for
Uutechnic Oy and its owners. All 24,000,000 contribution-in-kind shares have
been subscribed to. The nominal value of the subscribed shares is 6,000,000
euros. The issued shares have been paid for with the entire share capital of a
new company Uutechnic Oy (business ID 2708799-4) going into business as a
result of Uutechnic Oy (business ID 0933067-1) being split. Effective
immediately, the new company Uutechnic Oy is legally considered a wholly owned
subsidiary of Plc Uutechnic Group Oyj after the split. For accounting purposes,
the new company’s contribution-in-kind capital has been merged with the capital
of Plc Uutechnic Group Oyj since 30 October 2015. 

For this directed share issue, the portion of the shares to be paid for in cash
is 6,000,000 shares with a total nominal value of 1,500,000 euros. This
transaction is estimated to be concluded during the first half of January 2016.
