Increase of total number of shares based on subscriptions with stock options

PÖYRY PLC          Company Announcement 16 December 2009 at 4.30 p.m.

The 67 888 new shares subscribed with stock options 2004A and 2004B in November
and December 2009 pursuant to the stock option programme 2004 of Pöyry PLC have
been registered in the Trade Register on 16 December 2009. Following these
subscriptions, the registered total number of authorised shares increased to
58 971 398. The new shares will be joined to the old shares and will be
available for public trading on the main list of NASDAQ OMX Helsinki on 17
December 2009.

The subscription period for stock options 2004A started on 1 March 2007 and will
end on 31 March 2010. A total of 360 524 shares have been subscribed with stock
options 2004A by 15 December 2009 and available for subscription are a total of
299 476 shares.

The subscription period for stock options 2004B started on 1 March 2008 and will
end on 31 March 2011. A total of 132 028 shares have been subscribed with stock
options 2004B by 15 December 2009 and available for subscription are a total of
527 972 shares.

The subscription period for stock options 2004C started on 1 March 2009 and will
end on 31 March 2012. No shares have been subscribed with stock options 2004C by
15 December 2009 and thus 880 000 shares are available for subscription.
