Pohjola Bank plc to Issue Lower Tier 2 Subordinated Notes of EUR 100 Million

Pohjola Bank plc (Pohjola) will issue Lower Tier 2 subordinated notes of EUR
100 million with a maturity of ten years on or about 14 September 2011. An
application will be made for the notes to be listed on the London Stock
Exchange. The terms and conditions do not allow any early redemption of the
notes.

Pohjola announced on 8 August 2011 redemption of Lower Tier 2 subordinated notes
of USD 325 million and on 28 June 2011 an issue of Lower Tier 2 subordinated
notes of CHF 100 million.

On 30 June 2011, Pohjola Group's capital adequacy ratio stood at 12.2%, Tier 1
ratio at 12.2% and capital adequacy under the Act on the Supervision of
Financial and Insurance Conglomerates at 1.59.

The above three transactions - two issues and one redemption of Lower Tier 2
subordinated notes - will decrease Pohjola Group's capital adequacy ratio (pro
forma) and Tier 1 ratio by 0.4 percentage points and capital adequacy under the
Act on the Supervision of Financial and Insurance Conglomerates by 0.05, in net
terms. Consequently, Pohjola Group's capital adequacy ratio (pro forma) and Tier
1 ratio will stand at 11.8% and capital adequacy under the Act on the
Supervision of Financial and Insurance Conglomerates at 1.54.
