Agrowill Group AB - Notification on material event

Announcement on the allocation of Offer Shares


Acting under the prospectus of Agrowill Group, AB (the “Company”), approved by
the Lithuanian Securities Commission on May 31, 2011 (certificate of approval
of prospectus No. 4R-7) and notified to the Polish Financial Supervision
Authority (the “Prospectus”), the Management Board of the Company hereby
announces that (capitalized terms shall have the same meanings as in the
Prospectus) on June 28, 2011 the Company has allocated the Offer Shares. 

The total number of Offer Shares allocated is 13.268.732, from which:

a) 13.000.000 Offer Shares have been allocated in total in Institutional
Tranche; 

b) 268.732 Offer Shares have been allocated in total in Retail Tranche.

 The Offer Price per one Offer Share is LTL 1, which according to the official
currency exchange rate provided by the Bank of Lithuania as at 14 June 2011,
which is applicable for all the settlements for the Offer Shares by the
investors, is PLN 1.14.

and on the website of Dom Maklerski IDMSA, acting as the offering broker in
Poland (www.idmsa.pl). 

Furthermore, the Prospectus has been prepared on the basis that there will be
no offers of the Offer Shares, other than the Offering to the public in the
territory of Poland in accordance with the Directive 2003/71/EC of the European
Parliament and of the Council of 4 November 2003 on the prospectus to be
published when securities are offered to the public or admitted to trading and
amending Directive 2001/34/EC, as implemented in Lithuania and in Poland,
respectively.
