LITGRID AB - Notification on material event

Notice Regarding the Completed Valuation of BALTPOOL UAB Shares

Vilnius, Lithuania, 2011-03-30 15:43 CEST (GLOBE NEWSWIRE) -- LITGRID AB (a
public company established and functioning under laws of the Republic of
Lithuania, legal entity code 302564383, registered address A. Juozapavičiaus g.
13, Vilnius, data about the Company are collected and stored at the Register of
Legal Entities), with regard to the fact, that: 

1. On March 9, 2011 The Management Board adopted resolutions: (i) regarding
co-participation of LITGRID Turtas AB and Klaipėdos Nafta AB in BATLPOOL UAB,
provided that Klaipėdos Nafta AB will invest money in the authorised capital of
BALTPOOL UAB by acquiring 33 per cent of BALTPOOL UAB shares; (ii) to increase
the authorised capital of BALTPOOL UAB by LTL 156,627 (one hundred fifty-six
thousand six hundred and twenty-seven litas) by issuing 156,627 (one hundred
fifty-six thousand six hundred and twenty-seven) new ordinary registered shares
of BALTPOOL UAB of LTL of 1 (one Litas) par value each, with the share issue
price to be determined after valuation of the shares of BALTPOOL UAB,
anticipating that the issue price per new share in BALTPOOL UAB will be equal
to the value of a share in BALTPOOL UAB as determined by an independent
valuator; (iii) to revoke the pre-emption right of LITGRID Turtas AB to acquire
newly issued shares in BALTPOOL UAB anticipating that Klaipėdos Nafta AB will
acquire all the newly issued shares in BALTPOOL UAB; 

2. An ordinary general shareholders meeting of LITGRID AB is convened on April
1, 2011, in which inter alia it is proposed to approve resolutions adopted by
the Company Management Board on March 9, 2011. 

hereby informs that an independent valuator has performed the valuation of
BALTPOOL UAB shares and determined that the value of one share of BALTPOOL UAB,
on the day of value determination, i.e. December 31, 2010, was equal to LTL
1.6558.
