ASPOCOMP GROUP PLC’S SHARE ISSUE TO THE COMPANY ITSELF WITHOUT CONSIDERATION

Aspocomp Group Plc, Company Announcement, December 20, 2011 at 11:00 a.m.

The Board of Directors of Aspocomp Group Plc has, pursuant to the authorization
of the Extraordinary General Meeting held on 20 December 2011, resolved on an
issue of 1,305,410 shares to the company itself without consideration in
accordance with chapter 9 section 20 of the Companies Act. 

After the share issue, the total number of shares in the company will amount to
63,484,890, out of which the company will hold 1,440,005 shares as treasury
shares. 

The new shares will be registered with the trade register on or about 22
December 2011, after which the company will file an application for entering
the shares into the book-entry system maintained by Euroclear Finland Ltd.
After this, the shares will be recorded on the book-entry account of the
company and the company will apply for the admission of the shares to public
trading on the stock exchange list of NASDAQ OMX Helsinki Ltd on or about 23
December 2011. 

The company issues the shares to itself for the purpose of having a sufficient
amount of treasury shares available to potentially sell such shares to its
subsidiary Aspocomp Oulu Oy in order for it to use the shares as consideration
in connection with the acquisition of business operations of Cibo-Print Oy's
factory in Teuva in accordance with the terms and conditions of the Business
Purchase Agreement between Cibo-Print Oy and Aspocomp Oulu Oy dated 19 December
2011. 

The entering into the Business Purchase Agreement regarding the acquisition of
the business operations of Cibo-Print Oy's factory in Teuva and the main terms
thereof have been announced by Aspocomp through a stock exchange release on 19
December 2011.
