Tieto's Stock Options 2009 and Phantom Options 2009


Tieto Corporation Stock Exchange Release 8 October 2009 9.00 am EET

The Annual General Meeting of Tieto Corporation decided on 26 March
2009 to offer free of charge a maximum of 1 800 000 stock options for
subscription by the key personnel of Tieto Group as well as by a
wholly-owned subsidiary of Tieto Corporation. The issued stock
options entitle to subscribe for a maximum of 1 800 000 shares in
Tieto. The terms and conditions of the stock options have been
published via a stock exchange release on 26 March 2009.

The Board of Directors of Tieto has decided to allocate a total of
520 000 stock options 2009 A to 247 key employees of Tieto Group
based on performance. The stock options form a part of the incentive
and commitment programme for key personnel. Those stock options 2009
that are not distributed to key employees of Tieto Group are
allocated to a wholly-owned subsidiary of Tieto Corporation.

The Board of Directors has accepted the terms and conditions of a
synthetic option programme Tieto Corporation Phantom Options 2009 and
the implementation of the programme. Phantom Options 2009 form a part
of the incentive and commitment programme for key personnel. The
Board of Directors has decided to allocate 31 000 Phantom Options to
key employees of Tieto Group based on performance in those countries,
where stock options may not be granted. The maximum number of Phantom
Options 2009 issued under this plan is 200 000, which may entitle
their holders to a cash reward. The Phantom Options will be granted
under series 2009 A, 2009 B and 2009 C, which entitle their holders
to a cash reward based on the total share return of the underlying
shares during 2009-2012 (Phantom Options 2009 A), years 2010-2013
(Phantom Options 2009 B) and years 2011-2014 (Phantom Options 2009
C).

The theoretical market value of Phantom Options 2009 A is EUR 6.08
per option. The theoretical market value of the entire phantom option
serie is thus EUR 188 486. The theoretical market value of one
phantom option has been calculated using the Black & Scholes stock
option pricing model with the following input factors: share price
EUR 13.03, base price EUR 8.46, risk free interest rate 1.52%,
validity of phantom options 2.40 years and volatility 48.36%.
