2009-12-22 08:03:15 CET 2009-12-22 08:10:19 CET REGULATED INFORMATION Tieto Oyj - Company AnnouncementTieto Stock Options 2006 and 2009Tieto Corporation Stock Exchange Release 22 December 2009, 9.00 pm EET The Annual General Meeting of Tieto Corporation decided on 23 March 2006 to offer free of charge a maximum of 1 800 000 stock options for subscription by key personnel of the Tieto Group as well as by a wholly-owned subsidiary of Tieto Corporation. The issued stock options entitle to subscribe for a maximum of 1 800 000 shares in Tieto. The terms and conditions of the stock options have been published via a stock exchange release on 9 February 2006. The stock options 2006 have been divided into series A, B and C. In December 2006, stock options 2006 B were allocated to approximately 300 employees based on performance. In spring 2008, part of stock options 2006 B were converted into stock options 2006 C. The number of stock options 2006 B in the Finnish book-entry system currently amounts to 587 300. As a result of share subscriptions, the number of shares in Tieto may increase by a maximum of 587 300 shares, and the share capital by a maximum of EUR 587 300. The share subscription period for stock options 2006 B will commence on 1 March 2010 and end on 31 March 2012. Each stock option 2006 B entitles its holder to subscribe for one (1) share in Tieto. The counter book value of one share is EUR 1. Payment of shares shall be effected on subscription. The share subscription price amounts to EUR 19.29. The amount of the dividend decided on before share subscription will be deducted from the share subscription price as per the dividend record date. The subscription price of the shares shall, however, always amount to at least the counter book value of the share. Tieto's Board of Directors has decided that stock options 2006 B issued in the Finnish book-entry system will be listed on the main list of NASDAQ OMX Helsinki as of 1 March 2010. New shares subscribed with stock options 2006 B will be listed as additional lots of Tieto shares on the main list of NASDAQ OMX Helsinki together with the old shares after the share capital increase has been registered. Tieto's Board of Directors has also decided that subscriptions shall be made by paying the subscription price and that Evli Bank Plc, Aleksanterinkatu 19 A, 00100 Helsinki, Finland, subscription.eam.fi shall act as the subscription place. Listing time schedule for shares subscribed with stock options 2006 A and 2006 B in 2010: * Shares subscribed by and on the dividend record date, if any, decided by the Annual General Meeting, will be listed on or about the seventh banking day after the dividend record date. If the Annual General Meeting does not decide to pay dividend, the shares subscribed by the day of the Annual General Meeting, including this day, will be listed on or about the seventh banking day after the Annual General Meeting * Shares subscribed by 31 May 2010, including this day, will be listed on or about 10 June 2010. * Shares subscribed by 30 July 2010, including this day, will be listed on or about 11 August 2010. * Shares subscribed by 30 September 2010, including this day, will be listed on or about 12 October 2010. * Shares subscribed by 31 December 2010, including this day, will be listed on or about 15 January 2011. The Annual General Meeting of Tieto Corporation decided on 26 March 2009 to offer free of charge a maximum of 1 800 000 stock options for subscription by key personnel of the Tieto Group. The issued stock options entitle to subscribe for a maximum of 1 800 000 shares in Tieto. The terms and conditions of the stock options have been published via a stock exchange release on 26 March 2009. Tieto's Board of Directors has allocated a total of 520 000 Stock Options 2009 A to 247 key employees of the Tieto Group based on performance. The stock options form a part of theincentive and commitment programme for key personnel. A total of 498 200 stock options were subscribed by 230 key employees in the Tieto Group. Tieto's Board of Directors has approved and confirmed the subscriptions on 21 December 2009. Furthermore, the Board of Directors decided to allocate a total of 90 000 Stock Options 2009 A to the Tieto Leadership Team. Those stock options 2009 not distributed to key employees of the Tieto Group were allocated to a wholly-owned subsidiary of Tieto Corporation.
