BasWare - Changes in company's own shares

Conveyance of Basware Corporation’s own shares based on company’s share incentive plan


Basware Corporation stock exchange release 23 September 2021 at 09.00 EEST

The Board of Directors of Basware Corporation has on 22 September 2021 decided
on a directed share issue for the reward payment of Basware Corporation’s
Restricted Share Plan 2020.

In the share issue, 625 Basware Corporation shares have today been issued and
conveyed without consideration to the key persons participating in the plan
according to the terms and conditions of the plan. The shares will be
transferred to the book-entry accounts of the participants at the earliest on 23
September 2021.

The decision on the directed share issue is based on the authorization granted
to the Board of Directors by the Annual General Meeting of Shareholders held on
18 March 2021.

After the directed share issue, the company holds 7,943 own shares.

As a result of the share issue decided by the Board of Directors on 22 September
2021, the Board of Directors also decided upon the adjustment of the
subscription price to be utilized when subscribing the 1,000 freely transferable
warrants belonging to Briarwood Chase Management LLC. Following the adjustment,
the warrants entitle their holder to subscribe for a total of 1,003,000 shares
in the company at an adjusted subscription price of EUR 29.7926 per share
(before the adjustment, the subscription price per share was EUR 29.7939).
