  1. To approve the mortgage of PC „Lithuanian shipping company“ long-term asset
     - ship „Venta“ and ( or) other  ships of PC „Lithuanian shipping company“
     in for the loan granted by JSC „Lietuvos gelezinkeliai”.



  1. approve the sale of PC „Lithuanian shipping company“ long-term assets,
     ships “Voruta”, „Romuva“, „Deltuva“ and „Raguva“, at market price, leaving
     the obligation for PC „Lithuanian shipping company“   Board to decide
     regarding the approval of the particular transaction of the mentioned
     ship(s) and regarding the authorization for PC „Lithuanian shipping
     company“  General Director to conclude particular transaction.
