PÖYRY PLC SHARES SUBSCRIBED WITH OPTIONS

Pursuant to Pöyry PLC's stock option programme 2004, 600 shares of
the company have been subscribed on 26 August 2009 with stock options
2004A and 600 with stock options 2004B. The share subscriptions and
the consequential increase of the total number of the company's
authorised shares will be handled at the meeting of the Board of
Directors of the company on 29 September 2009. According to the terms
and conditions of stock options 2004, the subscribed new shares
entitle to dividend and other shareholders' rights as of the date of
registration of the shares into the Trade Register.

The subscription period for stock options 2004A started on 1 March
2007 and will end on 31 March 2010. A total of 292 836 shares have
been subscribed with the stock options 2004A by 31 August 2009 and
available for subscription are a total of 367 164 shares.

The subscription period for stock options 2004B started on 1 March
2008 and will end on 31 March 2011. A total of 128 228 shares have
been subscribed with the stock options 2004B by 31 August 2009 and
available for subscription are a total of 531 772 shares.

The subscription period for stock options 2004C started on 1 March
2009 and will end on 31 March 2012. No shares have been subscribed
with the stock options 2004C by 31 August 2009, and thus 880 000
shares are available for subscription.
