Proposal to the Annual General Meeting of Basware Corporation for a new member
of the Board

The shareholders representing more than 30 % of the shares and votes in Basware
Corporation have notified the Board of Directors that they will propose to the
Annual General Meeting, to be arranged on March 15, 2016, that David Bateman be
elected as a new member of the Board of Directors. David Bateman works as a
consultant in a senior advisory capacity at Arrowgrass Capital Partners LLP, a
London headquartered alternative asset manager. He is introduced at the
company's investor webpages at www.basware.com/annual-general-meeting.

The notice to the shareholders of Basware Corporation to the Annual General
Meeting and the matters 11 and 12 on the agenda, given on February 2, 2016, are
updated as follows:

11. Resolution on the number of members of the Board of Directors

The shareholders representing more than 30 % of the shares and votes in the
company have notified the Board of Directors that they will propose to the
General Meeting that for the next term of office the number of the members of
Board of Directors shall be six (6).

12. Election of members of the Board of Directors

The shareholders representing more than 30 % of the shares and votes in the
company have notified the Board of Directors that they will propose to the
General Meeting that Hannu Vaajoensuu, Ilkka Sihvo, Michael Ingelög, Tuija
Soanjärvi and Anssi Vanjoki be re-elected as members of the Board of Directors
and that David Bateman be elected as a new member of the Board of Directors.

The Annual General Meeting of Basware Corporation will be held on Tuesday, March
15, 2016 at 1:00 PM in Helsinki, at the auditorium of the National Museum of
Finland, in Mannerheimintie 34, Helsinki, Finland. More information on the
