Proposal of the Nomination Committee on the composition of Talvivaara's Board of
                                   Directors


Talvivaara   Mining  Company  Plc  ("Talvivaara"  or  the  "Company")  announces
proposals by the Nomination Committee of the Company's Board of Directors to the
Annual  General Meeting  for the  number of  members in  and composition  of the
Board. Talvivaara's Annual General Meeting is provisionally scheduled to be held
on 25 April 2013.

The  Nomination Committee proposes  that the number  of members of  the Board of
Directors be nine.

The  Committee proposes that present members  of the Board, Mr. Tapani Järvinen,
Mr.  Pekka Perä, Mr.  Graham Titcombe, Mr.  Edward Haslam, Ms.  Eileen Carr, Mr.
Stuart  Murray, Mr. Michael Rawlinson and Ms. Kirsi Sormunen, be re-elected, and
that Ms. Maija-Liisa Friman be elected as a new member to the Board.

Ms.  Maija-Liisa Friman (b. 1952), M.Sc. Chemical Engineering, was President and
CEO  of Aspocomp Group  Oyj in 2004-2007, Managing  Director of Vattenfall Oy in
2000-2004 and Managing Director of Gyproc Oy in 1993-2000. Friman is Chairman of
the  boards of Ekokem and Helsinki Deaconess  Institute and Vice Chairman of the
board  of  Neste  Oil.  In  addition,  she has board assignments in TeliaSonera,
Finnair,  LKAB  and  the  Finnish  Securities  Market Association. She is also a
partner of Boardman Oy.

Talvivaara Mining Company is an internationally significant base metals producer
with  its  primary  focus  on  nickel  and  zinc  using  a  technology  known as
bioheapleaching  to extract metals out  of ore. Bioheapleaching makes extraction
of  metals  from  low  grade  ore  economically  viable. The Talvivaara deposits
comprise  one of the largest known sulphide  nickel resources in Europe. The ore
body  is  estimated  to  support  anticipated  production  for  several decades.
Talvivaara has secured a 10-year off-take agreement for 100 per cent of its main
output  of nickel and cobalt to Norilsk Nickel and entered into a long-term zinc
streaming  agreement with Nyrstar  NV. Talvivaara is  listed on the London Stock
