Linas AB - Notification on material event

The reconstruction of structure of AB “Linas” Group of companies

Consider the indicated conditions of AB SEB bank the Board of AB “Linas”
decided to change partially the actions of business structure reconstruction of
AB “Linas” Group of companies. The essential event of those actions was
reported on May 10, 2008. Actions are stated as follow: 

1.To transfer part of UAB “Linas Nordic' employees to the new established
subsidiary company UAB “Lino apdaila” and to execute services of production
finishing and sewing. 
2.To transfer part of UAB “Linas Nordic” employees to the new established
subsidiary company “Lino aptarnavimas” and to execute technical service and
consulting, personnel hire, accounting and other services. 
3.After the reconstruction of activity UAB “Linas Nordic” will execute the
services of linen yarns production, dyeing and weaving. 
4.To transfer part of UAB “Linas Nordic” employees to AB “Linas” and execute
buying and sales functions. 
5.AB “Linas” will acquire part of property from UAB “Linas Nordic” for the
market price and to intercept part of rights and obligations with the third
parties acc.to the contracts. 
6.UAB “Linas Nordic” will sell part of long-term property to UAB “Nordic
investicija” for the market price acc.to the indicated conditions of AB SEB
bank.
