LESTO AB - Notification on material event

Regarding the Acquisition of Shares of UAB „ELEKTROS TINKLO PASLAUGOS“ and Transfer of Shares of UAB „TETAS“

Following the decision of the Board of AB LESTO as of 30 October 2012, AB LESTO
and LITGRID AB (legal entity code 302564383) concluded a Share Swap Agreement
on 7 January 2013. Under the Share Swap Agreement, AB LESTO transferred shares
of UAB „TETAS“ (legal entity code 300513148) owned by AB LESTO and equal to
38,87 percent of authorised capital of UAB „TETAS“ to LITGRID AB. In exchange,
AB LESTO acquired shares of UAB „ELEKTROS TINKLO PASLAUGOS“ (legal entity code
300072351) owned and transferred by LITGRID AB, which amount to 25,03 percent
of UAB „ELEKTROS TINKLO PASLAUGOS“ authorised capital. 

After the acquisition, AB LESTO is now the sole shareholder of UAB „ELEKTROS
TINKLO PASLAUGOS“. 

UAB „ELEKTROS TINKLO PASLAUGOS“ is a company providing services of electrical
construction, reconstruction, repair and maintenance.
