Gubernija AB - Notification on material event

The decisions of the Extraordinary Gen. Meeting of Shareholders of the Gubernija AB and the notice about the held Board Meeting

The decisions of the Extraordinary General Meeting of Shareholders  of the AB
“Gubernija” held on 23 June 2009: 
1.Approved the decisions adopted by the repeated Extraordinary General Meeting
of Shareholders  of the AB “Gubernija” held on 12 February 2009. 
2.Approved the decisions of the General Meeting of Shareholders  of the AB
“Gubernija” held on 30 April 2009 adopted in accordance with the supplemented
agenda of that day. 
3.Three members of the Board were withdrawn from the members of the Board:
Diana Veleckiene, Vytautas Liubinas and Romas Bubnelis. 
4.Elected new members of the Board: Sigitas Vilciauskas, Augustinas Radavicius
and Andrius Simaitis. 
5.The decision to apply to the law enforeement authorities regarding financial
activities of the AB “Gubernija” was not adopted. 
6.Adopted the decision to apply to independent auditors regarding the analysis
of the actions of financial activities of the AB “Gubernija” for year 2007, the
year 2008 and the first quarter of the year 2009. 

On 23 June 2009, the Board Meeting of the AB “Gubernija” was held.
Whereas the Extraordinary General Meeting of Shareholders  of the AB
“Gubernija” held on 23 June 2009 approved the decisions of the repeated General
Meeting of Shareholders held on 12 February 2009, the decisions of General
Meeting of Shareholders held on 30 April 2009 by ordinary majority of votes, i.
e. 51,9%, the Board Meeting once again reconsidered the following issues: 
1.Approved the decisions of the Board Meeting held on 12 February 2009, 30
April 2009. 
2.Romualdas Dunauskas was elected repeatedly as the chairman of the Board of
the Company. 
3.Diana Veleckiene was withdraw from the position of the General Director at
interim since 23 June 2009. 
4.Vijoleta Dunauskiene was elected as the General Directress of the Company
since 25 June 2009. 
On 10 July 2009 AB “Gubernija“ received Siauliai City Regional Court resolution
of 09-07-2009, with the means of which the court annulled the resolution of
30-06-2009 regarding suspension of validity of minutes and resolutions of
extraordinary general meting of shareholders, prohibiting to file them in the
Legal Entities Registry.
