PANOSTAJA STRENGTHENS ITS VALUE-ADDED LOGISTICS BUSINESS AREA WITH PURCHASE OF
HSG LOGISTICS OY 



Vindea Group Oy, a subsidiary of Panostaja Oyj, has today signed an agreement
to acquire the entire share capital of HSG Logistics Oy, a Finnish packaging
and logistics service provider. With this acquisition Panostaja further expands
its business area specializing in value-added logistics, part of which Vindea
Oy, provider of logistics services, is already part of. 

The roots of HSG Logistics Oy stretch back to 1970s, when wooden export
packaging business was first started. From 1990s onwards HSG Logistics has
focused on providing comprehensive logistics services for the technology
industry. The service portfolio of the company includes material flow
management services as well as packing, logistics and packaging design
services. HSG Logistics is headquartered in Ylöjärvi, Finland. The company
recorded net sales of EUR 12.0 million in 2011 and employed some 125 persons. 

Combined net sales of Vindea Oy and HSG Logistics Oy were approximately EUR 27
million in 2011 and the total amount of personnel was 260. CEO of Vindea Oy, Mr
Jouni Arolainen, will continue as a CEO of the new entity and also as a
significant shareholder. As a part of the arrangement, the owners of HSG
Logistics Oy will become minority shareholders of the new entity. After the
arrangement Panostaja Oyj's ownership in Vindea Group will decrease to 54 %. 

Panostaja Oyj will keep its previous guidance for 2012. Group's comparable net
sales are estimated to be approximately 9 - 16 % over the previous financial
year and the Group's operating profit is also expected to improve.
