Biotie Therapies Oyj:n suunnattu osakeanti institutionaalisille
sijoittajille

Ei julkaistavaksi tai jaettavaksi suoraan tai välillisesti, kokonaan
eikä osittain, Yhdysvaltoihin, Australiaan, Kanadaan, Japaniin tai
Etelä-Afrikkaan tai näissä maissa.

Biotie Therapies Oyj:n ("Biotie" tai "Yhtiö") hallitus on päättänyt
tarjota suunnatulla osakeannilla enintään 14 432 000 Biotien uutta
osaketta merkittäväksi maksua vastaan. Merkintähinta on 0,50 euroa
osakkeelta.

Uudet osakkeet tarjotaan osakkeenomistajien merkintäetuoikeudesta
poiketen rajoitetulle määrälle institutionaalisia sijoittajia
Suomessa ja kansainvälisesti ("Osakeanti"). Osakeannin
pääjärjestäjänä toimii Nomura Code Securities Limited. Osakeanti
toteutetaan Biotien käyttöpääoman vahvistamiseksi, lisärahoituksen
saamiseksi Yhtiön tuotekehitysohjelmiin ja Yhtiön omistuspohjan
kasvattamiseksi.

Merkintäaika päättyy 7.12.2009 klo 11.00. Ylimerkintätilanteessa
Osakeanti voidaan päättää ennenaikaisesti. Yhtiön hallitus päätti
osakekohtaisesta 0,50 euron merkintähinnasta Yhtiön NASDAQ OMX
Helsingin pörssin kaupankäynnissä määräytyneen osakekurssin ja
järjestäjän suosituksen perusteella.

Osakeanti perustuu Biotien 29.10.2009 pidetyn ylimääräisen
yhtiökokouksen valtuutukseen. Uudet osakkeet vastaavat noin 9,99
prosenttia kaikista Biotien osakkeista ja osakkeiden tuottamista
äänistä ennen osakeantia ja noin 9,1 prosenttia kaikista Biotien
osakkeista ja osakkeiden tuottamista äänistä osakeannin jälkeen
edellyttäen, että osakeanti merkitään kokonaisuudessaan. Uusien
osakkeiden merkintähinta kirjataan täysimääräisesti Biotien
osakepääomaan.
