2011-01-31 17:06:39 CET 2011-01-31 17:07:26 CET REGULATED INFORMATION Tiimari Oyj Abp - Company AnnouncementTIIMARI PLC: TIIMARI PLC 'S CONVERTIBLE CAPITAL LOAN 2011 OVERSUBSCRIBEDTIIMARI PLC Stock Exchange Release 31 January 2011 TIIMARI PLC 'S CONVERTIBLE CAPITAL LOAN 2011 OVERSUBSCRIBED Tiimari PLC 's EUR 3 million convertible capital loan issued on 30th December 2010 was oversubscribed during the subscription period that expired today. The Board of Directors has decided on the allocation of the loan. Because of the oversubscription, the subscription of Virala Oy Ab that gave a subscription guarantee to Tiimari PLC was cut according to the subscription guarantee contract. In the final allocation, EUR 1.9 million of the loan was allocated to Virala Oy Ab, EUR 0.85 million to the other subscription guarantors in total and EUR 0.25 million to other subscribers in total. The loan terms are accordant with the decision made by the Board of Directors on 30th December 2010: the annual interest of the loan is 9 %, the interest is paid annually on 31st March, the loan expires on 31st March 2014 and is convertible to shares during the time between 1st April 2011 and 17th March 2014. The original conversion rate is 0.96 Euros/share. On the grounds of the loan, the share quantity of Tiimari PLC may increase by 3,125,000 shares at maximum. The aggregate loan terms are published in Tiimari PLC 's stock exchange release on 30th December 2010.
