PANOSTAJA OYJ SUBSIDIARY OY ALFA-KEM AB AND SPECTRA YHTIÖT OY TO MERGE - PANOSTAJA'S HOLDING IN THE NEW COMPANY 32%

PANOSTAJA OYJ SUBSIDIARY OY ALFA-KEM AB AND SPECTRA YHTIÖT OY TO MERGE -
PANOSTAJA'S HOLDING IN THE NEW COMPANY 32% 

Panostaja Group's Technochemical business area has today concluded an
arrangement whereby Oy Alfa-Kem Ab, wholly owned by Panostaja Oyj, and Spectra
Yhtiöt Oy, from Lohja, merge. With the arrangement, Spectra Yhtiöt Oy acquired
a 100 per cent holding in Oy Alfa-Kem Ab by means of exchange of shares. Before
the exchange of shares was concluded, Panostaja Oyj bought 16% of SpectraYhtiöt Oy's shares and sold 25% of Oy Alfa-Kem Ab's shares to the acting
management of Oy Alfa-Kem Ab. After the arrangement concluded, Panostaja Oyj's
holding in Spectra Yhtiöt Oy is 32 per cent and that of the acting management
is 22 per cent. Hannu Plaketti, with his holding of 43 per cent, continues to
be the main owner of Spectra Yhtiöt Oy. 

With a history of a family business, Spectra Yhtiöt Oy is specialized in the
support services of shopping centers and shops, such as cleaning, bottle
recycling and various cleaning and maintenance operations. In 2010, Spectra
Yhtiöt Oy had net sales of MEUR 4.5 and it employed 212 staff. The arrangement
aims to create a new service and product concept, which can be copied
nationwide. The combination of Oy Alfa-Kem Ab's strong knowhow in
technochemistry with Spectra Yhtiöt Oy's extensive service network creates a
solid foundation to attain growth.  In connection with the arrangement, Oy
Alfa-Kem Ab's Managing Director Veli-Heikki Saari was also elected Managing
Director of Spectra Yhtiöt Oy. 

With the arrangement, Oy Alfa-Kem Oy has ceased to be Panostaja Oyj's
subsidiary, with Oy Alfa-Kem Ab becoming Spectra Yhtiöt Oy's subsidiary, in
which Spectra Yhtiöt Oy has a 100 per cent holding. As a result of the
arrangement, Panostaja Oyj records a capital loss of MEUR 0.5. In future,
Panostaja Oyj will report Spectra Yhtiöt Oy as an associated company. After the
transaction, the acquisition cost of associated company shares in Panostaja
Oyj's balance sheet is at MEUR 0.7. 

Panostaja Group's result management for the financial period will remain
unaltered. It is expected that the Group's net sales will increase further and
its operating profit will improve in 2012.
