PROPOSAL TO INCAP'S ANNUAL GENERAL MEETING

Incap Corporation  Stock Exchange Release  27 March 2009 at 9 a.m.

Shareholders who represent more than 40 per cent of the shares and
votes of Incap Corporation have supplemented their previous proposal
for the number of members of the Board of Directors and for the
persons to be elected to the Board of Directors.

The aforementioned shareholders have informed that they will propose
to the Annual General Meeting that the number of members of the Board
of Directors shall be five and that besides the present members of
the Board of Directors also Mr Lassi Noponen shall be elected to the
Board of Directors.

Mr Lassi Noponen, LL.M., MBA (London Business School), born in 1963,
has acted in 2006-2009 as chairman of the Board of Directors of
Winwind Ltd., a supplier of wind turbines operating in Finland and in
India. During his chairmanship, Winwind has established operations in
India and expanded its ownership base by an issue to Masdar, an
investment company owned by the state of Abu Dhabi. The issue was so
far the biggest financing arrangement in Cleantech business in Nordic
countries. Thanks to his activities as co-founder and CEO of
environmental technology group Proventia in 2000-2006 and due to his
membership in the Sitra (The Finnish Innovation Fund) management team
creating the Cleantech strategy for Finland, Lassi Noponen has
gathered 10 years' experience in the business connected with
environmental technology and renewing energy. He has previously acted
also as partner at Evli Corporate Finance and as corporate controller
at Neste Corporation.

The Annual General Meeting of Incap Corporation will be held on
Friday, 3 April 2009 at 3 p.m. at World Trade Center Helsinki. The
notice and proposals for the Annual General Meeting were published in
a stock exchange release on 25 February 2009.
