Amber Grid AB - Notification on material event

Notification on the spin-off of the assets, rights and obligations of AB Amber Grid from AB Lietuvos Dujos

AB Amber Grid announces that pursuant to the Terms and Conditions of the
Spin-off of AB Lietuvos Dujos as approved by a resolution of the Extraordinary
General Meeting of Shareholders of AB Lietuvos Dujos as of 11 June 2013
(hereinafter referred to as the " Spin-off Terms and Conditions"), on 1 August
2013, a Transfer Deed was signed. 

On the basis of the aforesaid Transfer Deed AB Amber Grid took over the assets,
rights and obligations of AB Lietuvos Dujos attributed to the natural gas
transmission activity of AB Lietuvos Dujos as defined by the Spin-off Terms and
Conditions. 

The Spin-off Balance Sheet, which is part of the Spin-off Terms and Conditions,
was drawn up as at 31 October 2012. Since the aforesaid date of the drawing up
of the Spin-off Balance Sheet until the de facto date of the transfer of the
assets, rights and obligations to AB Amber Grid, i.e. 31 July 2013, there
occurred a number of changes that were impacted by economic activities. In
order to adjust the amounts of the assets, equity and liabilities that were
transferred to AB Amber Grid, just as provided for by the Spin-off Terms and
Conditions, a Final Spin-off Balance Sheet will be drawn up. Upon the drawing
up of the Final Spin-off Balance Sheet, if necessary, respective adjustments
will be introduced to the amounts of the assets, rights and obligations
transferred to AB Amber Grid through the conclusion of supplementary transfer
deeds. 

The Final Spin-off Balance Sheet is scheduled for announcement by 21 August
2013. 

AB Amber Grid also announces that during the spin-off AB Amber Grid acquired
and took over from AB Lietuvos Dujos 640,000 ordinary registered shares (with
par value of LTL 1 each) of UAB GET Baltic, accounting for 32 percent of the
authorised share capital of UAB GET Baltic.
