On the Management incentive scheme 


On September 1, 2009 the Management Board of Sanitas AB approved the Phantom
Share Option Plan. The incentive scheme for the top and middle Management of
the Company and its affiliates is established in the said Phantom Share Option
Plan. (Enclosed: Phantom Share Option Plan; Form of the Phantom Share Option
agreement with respect to the Tranche 1 Option Shares; Form of the Phantom
Share Option agreement with respect to the Tranche 2 Option Shares; Form of the
Phantom Share Option agreement with respect to the Tranche 3 Option Shares).
