Annual general meeting of shareholders

The annual general meeting of the shareholders of Panevežio statybos trestas AB
(code 147732969) will be held in the conference room at the headquarters of
Panevezio statybos trestas AB at P. Puzino St. 1, Panevežys,  Lithuania, at
15.00 on 24 April 2009. The registration will take place from 14.00 till 14.45. 

The meeting is convened on the initiative of the Board and following the
decision of the Board adopted on 12 February 2009. 

The accounting day of the General Meeting of Shareholders is 17 April 2009.

Proposed Agenda:

1.	Audit conclusions regarding the financial statement and annual report of the
Company for the year 2008. 
2.	The Annual Report of the Company for the year 2008.
3.	Approval of the financial statements for the year 2008.
4.	Appropriation of profit (loss) of the Company for the year 2008.
5.	Approval of regulations of the audit committee. 
6.	Election of members for the audit committee.

 The persons who at the end of the accounting day of the General Meeting of
Shareholders, i.e. 17 April 2009, will be on the shareholder list of the
Company have the right to participate and vote at the General Meeting of
Shareholders personally or by proxy, or represented by the persons with whom an
agreement on the transfer of voting rights is concluded. 

All persons attending the General Meeting of Shareholders and having the voting
right must bring a person's identification document with them. The
representative of a Shareholder must present to the General Meeting an original
proxy issued in the form and content established by the Law. 

From 14 April 2009 the shareholders can get familiarised with the documents
related to the agenda of the Meeting that are in the possession of the Company
including draft resolutions of the Meeting at Panevėžio statybos trestas AB at
P. Puzino St. 1, Panevežys.
