CHANGE IN MARIMEKKO’S GOVERNANCE MODEL

On 22 February 2016, Marimekko's Board of Directors decided to revise Marimekko
Corporation’s governance model, according to which the duties of the CEO are
currently separate from those of the President. After the change, the role of
Tiina Alahuhta-Kasko will incorporate the duties of both the President and the
CEO. The duties of the CEO include, inter alia, responsibility for the
development and implementation of Marimekko's strategy together with the
Management Group as well as managing the company's financial affairs and
stakeholder relations. Tiina Alahuhta-Kasko has served as the President of
Marimekko since 9 April 2015. 

Mika Ihamuotila will continue to be employed by the company pursuant to his
full-time executive service agreement. Also, he has announced that he will be
available for re-election as Chairman of the Board of Directors. In the event
that Mika Ihamuotila is elected as Chairman of the Board of Directors, he will
be full-time Chairman of the Board. The Annual General Meeting decides on the
remuneration payable for board chairmanship. 

The changes will take effect after the Annual General Meeting of 11 April 2016.
Following the revised governance model, the total compensation of executive
management will decline markedly. 

The Audit and Remuneration Committee established on 9 April 2015 in connection
with revising the company’s governance structure deals with and prepares
matters related to the executive management's terms of contract and
remuneration, in addition to the conventional duties and supervision allotted
to audit and remuneration committees.
