Tietoevry's Board of Directors decides on a directed share issue without payment as part of the share-based incentive schemes of the Group's key employees

On 24 April 2024, the Board of Directors of Tietoevry Corporation has resolved
on a directed share issue without payment in order to pay the rewards of the
Performance Share Plan 2021-2023 and Restricted Share Plan 2021-2023 for key
employees of the Group. In the share issue, a total of 214 379 new shares are
issued free of payment to the eligible reward recipients. Rewards will be paid
to a total of 449 key employees.

The main terms of the 2021-2023 share-based incentive plans were published in a
stock exchange release on 17 February 2021. Contrary to the announcement on that
date, the share rewards are paid in the company's new shares.

The share issue is based on the authorization granted to the Board of Directors
by the Annual General Meeting held on 13 March 2024. The new shares are
estimated to be registered with the Trade Register on 14 May 2024 and trading in
the new shares on the main list maintained by Nasdaq Helsinki Ltd, together with
the old shares, is estimated to commence on 15 May 2024.

As a result of the share issue, the total number of shares in Tietoevry
Corporation will increase to 118 640150 shares.
