Second appendix to Base prospectus for issuing non-equities approved

On the 10th of December, 2009, the Lithuanian Securities Commission approved
second appendix to SEB Bank's Base prospectus of LTL 1,500,000,000 for issuing
non-equities, which was approved on the 1st of October, 2009. 

Amendments stated in the Appendix are related to SEB Bank's (hereinafter - the
Bank) interim condensed information for the nine months of 2009. Furthermore,
in accordance with the foregoing interim financial information, the main
indicators of the Bank's performance have been updated.
