Shareholders' Resolution: “On Selection of an Audit Firm to Conduct an Annual Audit and Express an Audit Opinion“

        The shareholders of AB Žemaitijos Pienas decided to enter into a
service agreement with UAB Grant Thornton Rimess for conducting annual audit of
AB Žemaitijos Pienas for the year 2013 containing a provision that costs of the
audit services shall not exceed LTL 83,000 (eighty-three thousand litas). 

It is decided to authorize the Director of the Company to sign the Audit
Services Agreement.
