NOTIFICATION REFERRED TO IN CHAPTER 2, SECTION 9 OF THE SECURITIES MARKET ACT
ON AN UNDERTAKING CONCERNING THE ACCEPTANCE OF THE TENDER OFFER 

Rocla Oyj has received today a notification referred to in chapter 2, section 9
of the securities market act concerning the shares of Rocla Oyj.

NOTIFICATION IN ACCORDANCE WITH CHAPTER 2, SECTION 9 OF THE SECURITIES MARKET
ACT ON CHANGE IN HOLDINGS 

Rocla Oyj (”Rocla”), Mitsubishi Heavy Industries Ltd (”MHI”) and Mitsubishi
Caterpillar Forklift Europe B.V. (”MCFE”) have today, 23 October 2008, entered
into a Combination Agreement whereby MCFE, a subsidiary of MHI, will make a
public tender offer to acquire all of the issued and outstanding shares and
option rights in Rocla that are not owned by Rocla or the MHI group of
companies (the “Tender Offer”). In connection with the conclusion of such
agreement, the undersigned Oy Etra Invest Ab (“Etra Invest”), as a shareholder
of Rocla has given an undertaking, according to which Etra Invest irrevocably
and subject only to the completion of the Tender Offer commits to accept the
Tender Offer with respect to the Rocla shares owned by it. 

The undertaking given by Etra Invest is in force until 28 February 2008. Etra
Invest has irrevocably waived any right it may have pursuant to the Finnish
Securities Market Act or the terms and conditions of the Tender Offer to
withdraw acceptance of the Tender Offer. 

At the date hereof, Etra Invest holds a total of 1,000,000 shares in Rocla,
representing 23.45% of all the shares and voting rights in Rocla. 

In accordance with Chapter 2, Section 9 of the Securities Market Act, we hereby
notify the Financial Supervision Authority and Rocla that, if the Tender Offer
is completed, Etra Invest will renounce its ownership in Rocla.
