INCREASE OF TOTAL NUMBER OF SHARES BASED ON SUBSCRIPTIONS WITH STOCK
OPTIONS

The 8 108 new shares subscribed with stock options 2004A and 2004B in
July 2009 pursuant to the stock option programme 2004 of Pöyry PLC
have been registered in the Trade Register on 30 July 2009. Following
these subscriptions, the registered total number of authorised shares
increased to 58 898 710. The new shares will be joined to the old
shares and will be available for public trading on the main list of
NASDAQ OMX Helsinki on 31 July 2009.

The subscription period for stock options 2004A started on 1 March
2007 and will end on 31 March 2010. A total of 292 236 shares have
been subscribed with stock options 2004A by 22 July 2009.

The subscription period for stock options 2004B started on 1 March
2008 and will end on 31 March 2011. A total of 127 628 shares have
been subscribed with stock options 2004B by 22 July 2009.
