City Service - Notification on material event

Resumption of trading in City Service AS shares


Vilnius, Lithuania, 2015-08-14 10:50 CEST (GLOBE NEWSWIRE) -- On 14 August 2015
the Market Services Department of AB Nasdaq  OMX Vilnius decided to resume
trading in City Service AS shares (CTS1L, ISIN code: EE3100126368) from 17
August 2015 (Monday) and to apply observation status for City Service AS. 

On 13 August 2015 City Service AS initiated actions regarding conversion of the
company into the European Company (Societas Europaea). It also anticipates
taking actions in the future regarding listing of City Service AS shares on the
Warsaw stock exchange as it was decided by the general meeting of shareholders
of AB “City Service” on 30 April 2015. Considering that the observation status
has been applied with respect to City Service AS seeking to alert the market
participants. 

Following completion of the merger, all the shareholders of AB “City Service”
became the shareholders of City Service AS directly holding 100 per cent of all
votes and shares in City Service AS. The shares of City Service AS for the
former shareholders of AB “City Service”, who have opened securities accounts
in the Central Securities Depository of Estonia, have been transferred directly
into such accounts. The shares of other shareholders have been accounted
through the chain of intermediaries (custodians) - in the nominee account of
the Central Securities Depository of Lithuania, as well as accounting thereof
with the intermediaries, who managed the shares of AB “City Service” in their
personal securities accounts until the merger completion (i.e. 10 August 2015).
The shareholders of City Service AS may dispose of their shares, transfer them
to other intermediaries upon the necessity, whereas the transactions on the
stock exchange shall be possible as of resumption of trading in City Service AS
shares on Monday, 17 August 2015, as of opening of trading on stock exchange.
