Notice on Prepared Terms for Spin-Off of Kruonis PSP and Kaunas HPP

On September 29, 2009 the Management Board of Lietuvos Energija AB approved
Spin-Off Terms on intended Spin-Off of Kaunas hydro power plant and Kruonis
pumped storage plant from the joint-stock company Lietuvos Energija
(hereinafter - Lietuvos Energija AB Spin-Off Terms), prepared by the Management
Board of Lietuvos Energija AB following resolutions of extraordinary general
shareholders meetings of Lietuvos Energija AB of December 4, 2008 and September
8, 2009 and Article 71 of Law on Joint-Stock Companies of the Republic of
Lithuania. 
In the course of the spin-off, the company's electricity generation and
reservation activities in Kaunas hydro-electric power plant and electricity
generation and power reservation activities in Kruonis pumped storage plant
will be spun-off from Lietuvos Energija AB and established as new separate
companies. 
Lietuvos Energija AB Spin-Off Terms, Lietuvos Energija Board AB report on the
intended separation and Lietuvos Energija AB Spin-Off Terms assessment report
in English will be published on October 1, 2009.
