Notification about the intention to submit a non-competitive mandatory tender offer

Kaunas, Lithuania, 2011-08-19 11:51 CEST (GLOBE NEWSWIRE) -- On 19 August 2011
SANITAS AB received a notification that Valeant Pharmaceuticals International,
Inc., a company established according to laws of the Canada, with its address
registered at 7150 Mississauga Road, Mississauga, Ontario, Canada L5N 8M5
(hereinafter - Valeant), pursuant to its Board's decision intend to submit a
non-competitive mandatory tender offer to buy up the remaining 2,480,895 (two
million four hundred eighty thousand eight hundred ninety five) ordinary
registered shares of SANITAS AB (legal form: public limited liability company,
legal entity code 134136296, registered at Veiverių st. 134B, Kaunas, the
Republic of Lithuania, data about the company are collected and kept in the
Register of Legal Persons of the Republic of Lithuania) with the par value of
LTL 1 (one litas) each, constituting 7.98% (seven and ninety eight hundredths
percent) of shares and votes carried by them at the general meeting of
shareholders of SANITAS AB. 
Valeant acquired more than 1/3 (one third) of shares of SANITAS AB on 19 of
August, 2011 after the closing of the transaction of acquisition of shares of
the company according to Share Sale and Purchase Agreement of 23 May 2011.
Valeant owns 28,625,025 (twenty eight million six hundred twenty five thousand
twenty five) ordinary registered shares of SANITAS AB with the par value of LTL
1 (one litas) each, constituting 92.02% (ninety two and two hundredths percent)
of shares and votes carried by them at the general meeting of shareholders of
SANITAS AB. 
Intended way of settlement for the securities to be bought up is in cash. The
intended price for the company's shares subject to the offer: EUR 10.06 (the
equivalent in litas is LTL 34.74) per share. The intended period of the offer:
14 calendar days.
