SOLTEQ'S SUBSIDIARY SOLTEQ RETAIL LTD TO MERGE WITH SOLTEQ

 Solteq Plc STOCK EXCHANGE BULLETIN 12.7.2012 at 9.00 am



The boards of directors of Solteq Plc and Solteq Retail Ltd have prepared a
plan Solteq Retail Ltd to merge with its parent company Solteq. The merger plan
was entered into Finnish Trade register today 12.7.2012 and the planned
registration date for the implementation of the merger is December 31st, 2012.
The merger is primarily decided by the boards of directors of the companies
involved. In case, the shareholders of Solteq Plc representing minimum one
tenth (10%) of the company's shares insist, the matter is dealt by the
extraordinary general meeting of shareholders. 

The shareholders are informed on the conditional treatment in extraordinary
general meeting according to the articles of association and the chapter 16
section 10 of Companies Act.
