Gubernija AB - Notification on material event

Concerning reduction of the company's equity capital

Having developed the financial accounts not confirmed by an auditor of the AB
“Gubernija” for the year 2008, it became clear that the AB“Gubernija“ equity
capital became 53477LTL less than the equity capital required by laws of the
Republic of Lithuania, i.e.  ½ of the statutory capital. The equity capital
according to the data on 31-12-2008 is equal to 12353883LTL, the required
minimum is 12407369LTL. 
 In case if the lack of capital would be confirmed by an auditor, the general
manager of the company is going to propose to the Board and the General Meeting
of Shareholders to decide the issue of restoration of the capital.
