2007-06-15 14:08:14 CEST 2007-06-15 14:08:14 CEST REGULATED INFORMATION Amanda Capital - Company AnnouncementTHE BOARD OF DIRECTORS OF AMANDA CAPITAL PLC RESOLVED ON PERSONNEL INCENTIVEThe Board of Directors of Amanda Capital Plc has decided on a new share-based incentive plan directed to the whole Group personnel. The plan includes one three-year earning period, calendar years 2007—2009. The potential reward from the plan will be based on the dividend adjusted price of the Company's share. The rewards will be paid in three installments in 2008, 2009 and 2010 as the Company's shares and in cash. The proportion to be paid in cash will cover taxes and tax-related costs arising from the reward. It is prohibited to transfer the shares within two years from the end of the calendar year that was the basis for the earning of the reward (restriction period). If a person's employment or service ends during the restriction period, he/she must gratuitously return the shares paid as reward to the Company. The rewards to be paid on the basis of the plan will correspond to a maximum total of approximately 680,000 Amanda Capital Plc shares and 2.99 per sent of share capital (including also the cash payment).
