Klaipedos Nafta AB - Prospectus

CORRECTION: Prospectus of the shares of Klaipėdos nafta AB was approved 


Prospectus is attached (in Lithuanian language)


On 23 May 2012, the Bank of Lithuania approved the Prospectus of ordinary
registered shares of Klaipėdos nafta AB (hereinafter, the “Company”). 

The approved Prospectus is designated to the offering of newly issued shares of
the Company to the existing shareholders of the Company with the total nominal
value of up to LTL 47,711,022 (number of shares - up to 47,711,022, nominal
value of one share is LTL 1, issue price of one share is LTL 1.35) and
admission of them to trading on the Secondary List of AB NASDAQ OMX Vilnius. 

The decision with regard to issue of shares, offering of them to the current
shareholders of the Company and admission to trading on a regulated market has
been adopted in the annual general meeting of shareholders of the Company on 27
April 2012 and has been detailed by a decision of the Board of the Company on
21 May 2012. 

Subscription period of the newly issued shares of the Company, indicated in the
Prospectus - 14 calendar days, counting it from the day of public announcement
of the notification on the offer to acquire shares of the Company by exercising
the pre-emptive right by the Register of Legal Persons (the day of publication
of the offer to acquire shares of the Company by exercising the pre-emptive
right shall not be included in the term). The persons, who were the owners of
the ordinary registered shares of the Company at the end of 14 May 2012, shall
have a right to subscribe for new shares of the Company. 

It will be announced on the commencement of subscription of new shares of the
Company, providing a relevant notification on material event. 

Taking into consideration that following the applicable legislation the
prospectus was prepared in Lithuanian language, Klaipėdos nafta AB deems it not
to be practicable to translate the prospectus into English language. Thus, the
attached prospectus is provided in Lithuanian language.

2) Decision (certificate) of the Bank of Lithuania on approval of the
Prospectus.
