Shareholder agreement between Honkarakenne's main owners

The individual shareholders, who belong to Saarelainen family, and Saarelainen
Oy have made a shareholder agreement on 17 February 2009. 

The parties to the agreement have agreed that individual shareholders endeavor
to use their unanimous voting right in shareholders' meetings. If unanimity
cannot be reached, individual shareholders vote for the option supported by
Saarelainen Oy. 

As agreed, the Saarelainen family representatives to Honkarakenne Oyj's board
of directors are chosen according to the unanimous decision of the individual
shareholders. If unanimity cannot be reached, the family representatives are
chosen according to the majority of votes given in Saarelainen Oy's
shareholders' meeting. 

The shareholder agreement states that, except for certain exceptions, the
individual shareholders agree not to sell or hand over the series A shares to
anyone other than an individual shareholder, who has signed the agreement or
Saarelainen Oy, without giving first refusal to Saarelainen Oy or their
appointee.
