Amendment to the shareholders’ proposal to the Annual General Meeting of Dovre Group Plc on March 17, 2016, concerning the election of the members of the Board Directors

Amendment to the shareholders’ proposal to the Annual General Meeting of Dovre
Group Plc on March 17, 2016, concerning the election of the members of the
Board Directors 

The notice of the Annual General Meeting of Dovre Group Plc, to be held on
March 17, 2016, was published on February 18, 2016. The notice included a
shareholders’ proposal regarding the election of the members of the Board of
Directors. In accordance with the proposal, the shareholders representing over
55% of the total shares in the company proposed Rainer Häggblom and Ilari
Koskelo, both current members of the Board, to be reappointed as members of the
Board, and Christian Bull Eriksson and John Wiseman to be appointed as new
members of the Board. 

According to a notification received from the shareholders, John Wiseman has
subsequently announced that he is unable to stand as a candidate for the Board.
Therefore, the shareholders representing over 55% of the total shares in the
company have notified the company that they wish to amend their original
proposal and propose Louis Harrewijn to be appointed as a new member of the
Board instead of John Wiseman. 

Louis Harrewijn (b. 1965, Dutch citizen) has served as Regional Manager for
Asia Pacific at Mentor IMC Ltd. since 2015. Harrewijn has previously held a
number of senior managerial positions in Brunel International N.V., Manpower
Inc., and Société Générale de Surveillance (SGS), and has worked, for example,
as Regional Director for Middle East and India and as Regional Director for
Southeast Asia at Brunel International, as General Manager in the Philippines
at Manpower, and as Division Director in both Thailand and the Philippines at
SGS. Harrewijn holds a B. Sc. in technical business administration.
