9, Section 5 of the Securities Market Act:

4. Reason for the notification:

Agreement or other arrangement that, if realized, would result in the crossing
of the 5% notification threshold as referred to in the Chapter 9 Section 5 of
the Securities Market Act and calculated from the total number of shares and
voting rights.

The arrangement in brief:

The Board of Directors of Suominen Corporation decided on 31 January 2014 to
offer for subscription a convertible hybrid bond directed at a limited group of
qualified investors (private placement). Suominen Corporation has announced on
5 February 2014 about the acceptance of the subscriptions for the convertible
hybrid bond. 

The basis for the calculation of the notification is the total amount of shares
and voting rights of Suominen Corporation after the shares to be subscribed
through the hybrid bond have been subscribed. Based on the subscriptions
related to the hybrid bond, the number of shares and voting rights after
subscriptions is 291,264,122.
