(hereinafter - the Company) decided in the meeting of its Board of Directors
held on 15 December 2014 to acquire (subscribe) 145 000 (one hundred forty five
thousand) shares of UAB Verslo Aptarnavimo Centras (hereinafter - UAB VAC)
accounting for 7.25 per cent of the authorized capital of UAB VAC, with the par
value of LTL 1 (one litas) per share. 

UAB VAC is one of the companies controlled by the energy group Lietuvos
Energija, UAB. The investment of AB Lietuvos Dujos made into UAB VAC is a part
of its integration process into Lietuvos Energija, allowing the Company to
adapt an effective corporate business model. Having become a shareholder of UAB
VAC, AB Lietuvos Dujos will be able to centrally and cost-efficiently use the
services of public procurement organization and execution, accounting and
personnel administration, which are provided by UAB VAC to all group companies.
