Imoniu grupe ALITA, AB - Notification on material event

Regarding further activities of the Group of Companies ALITA, AB


Considering the notice received by AB ALT investicijos from Serbian Arbitration
on 7 December 2010 to the effect that the Privatisation Agency of the Republic
of Serbia, as the claimant, submitted an application to the Serbian Arbitration
regarding awarding of the fine in the amount of EUR 68 347 168 from AB ALT
investicijos and United Nordic Beverages AB, the Company informs that has no
obligations to the Privatization Agency of the Republic of Serbia. 
Additionally the Company informs that as it is indicated in Section 10 of the
spin-off terms of AB ALT investicijos which was approved by the general meeting
of shareholders of AB ALT investicijos (previous name - AB ALITA) on 29
September 2009 and about which it was publicly announced on 29 September 2009,
the Company and AB ALT investicijos are joint and several debtors under the 29
June 2006 credit line agreement No 06-046799-KL (with later supplements and
amendments) (the Credit Agreement). The part of the rights and obligations
under the Credit Agreement passed over to each of the companies after the
spin-off, but both co-debtors - the Company and AB ALT investicijos - provide
surety to one another and are jointly and severally liable to the creditor
Swedbank, AB for due performance of all obligations under the Credit Agreement.
The accession of the Company, as a co-debtor of AB ALT investicijos, to the
Credit Agreement was executed on 23 October 2009 by signing the three party
agreement. 
Considering the publicly announced information by AB ALT investicijos on 7
December 2010, there is a real possibility that the Company takes over all
obligations of AB ALT investicijos against Swedbank, AB. However, currently the
negotiations with Swedbank, AB, which is the main creditor of the Company,
showing the interest to retain and ensure further implementation of the
activities of the Company, takes place regarding the conditions as concerns the
Company's obligations to Swedbank, AB.
