Increase of share capital

Marel hf Board of Directors resolved on its meeting today, November 26th 2010,
to use authorization in Marel Articles of Associations, article 15.1. to
increase the share capital of Marel hf in the amount of ISK 3,154,750 nominal
value shares to fulfill stock option agreements made in 2006 and 2007. The new
shares will be sold to stock options holders at the weighted average rate of
ISK 71 per share. By this Marel hf share capital increases from ISK 727,136,497
to ISK 730,291,247. 
The increase will be effective on 29 of November 2010.
