Gubernija AB - Notification on material event

Regarding the draft decisions of the issues of the agenda of the Extraordinary GM of the Shareholders of the AB “Gubernija“

On the grounds of the letter of the Securities Commission No 06-842-(13.01-02),
the Manager of the Company publishes the draft decisions of the issues of the
agenda of the Extraordinary General Meeting of Shareholders to be held at 3.00
p.m. on 23 June 2009: 
1) Approval of decisions adopted in the repeat Extraordinary General Meeting of
Shareholders of the AB “Gubernija“ held on 12 February 2009. 
The proposed draft decision:
„To approve all decisions adopted by the repeat Extraordinary General Meeting
of the AB “Gubernija” held on 12 February 2009“. 

2) Approval of the decisions of the General Meeting of Shareholders of the AB
“Gubernija” held on 30 April 2009 adopted in accordance with the supplemented
agenda of the Meeting of that day. 
The proposed draft decision:
„To approve the decisions of the General Meeting of Shareholders of the AB
“Gubernija” held on 30 April 2009 adopted in accordance with the supplemented
agenda of the Meeting of that day “. 

3) Withdrawal of three Board members (i.e. Vytautas Liubinas, Diana Veleckiene,
Romas Bubnelis). 
The proposed draft decision:
„To withdraw Vytautas Liubinas, Diana Veleckiene and Romas Bubnelis from the
Board of the Company “. 

4) Election of three new members of the Board of the Company (i.e.  Sigitas
Vilciauskas, Augustinas Radavicius and Andrius Simaitis). 
The proposed draft decision:
„To elect Sigitas Vilciauskas, Augustinas Radavicius, Andrius Simaitis as new
members of the Board of the Company “. 

5) Adopting of the decision regarding applying to the law enforcement
authorities regarding investigation of the financial activities of the AB
„Gubernija“. 
The proposed draft decision:
„To apply to the law enforcement authorities regarding starting and performing
of the investigation of the financial activities of the AB “Gubernija“.“ 
6) Adopting of the decision regarding applying to independent auditors
regarding the financial activities of the AB “Gubernija“ for the years  2007,
2008 and the first quarter of the year 2009. 
The proposed draft decision:
„To apply to independent auditors regarding the financial activities of the AB
“Gubernija“ for the years  2007, 2008 and the first quarter of the year 2009.“
