Lietuvos Dujos - Notification on material event

Regarding resolutions adopted by NCCPE and Competition Council of the Republic of Lithuania in respect of AB Lietuvos Dujos

Vilnius, Lithuania, 2014-05-20 13:07 CEST (GLOBE NEWSWIRE) -- The issuer AB
Lietuvos Dujos hereby notifies that: 

  1. On 19 May 2014 the National Control Commission for Prices and Energy
     adopted Resolution No O3-127 “On the Implementation of the Plan on
     Separation of Control over AB Lietuvos Dujos” whereby approved the
     transaction of the assignment of shares of AB Lietuvos Dujos to be
     concluded between
Lietuvos Energija, UAB (registration number 301844044, address of the
     registered office: Žvejų St. 14, Vilnius
) and E.ON Ruhrgas International GmbH (registration details: Essen Regional
     Court, HRB 21974, registered office: Brüsseler Platz 1 D-45131 Essen,
     Germany) and further transactions whereby it is planned to purchase shares
     of AB Lietuvos Dujos in accordance with the procedure prescribed in the
     Republic of Lithuania Law on Securities.

  1. On 19 May 2014, the Competition Council of the Republic of Lithuania:

        2.1. adopted Resolution No 1S-78/2014 whereby permitted the
implementation of concentration through acquisition of 38.91 per cent of
(together with the already held shares in total 56.61 per cent) of AB Lietuvos
Dujos by Lietuvos Energija, UAB and gaining joint control over AB Lietuvos
Dujos together with OAO Gazprom in accordance with the provided notice of
concentration. 

2.2. adopted Resolution No 1S-79/2014 whereby permitted the implementation of
concentration through acquisition of 100 per cent of the shares of AB Lietuvos
Dujos by Lietuvos Energija, UAB and gaining absolute control over AB Lietuvos
Dujos in accordance with the provided notice of concentration. 

        2.3. stated in the afore-mentioned resolutions that the intended
concentration will not create or strengthen a dominant position or
significantly restrict competition in the relevant markets.
