Amber Grid - Acquisition or disposal of a block of shares

Notification on disposal and acquisition of a block of shares of the Issuer 


Issuer - AB Amber Grid (hereinafter - the Issuer) hereby informs that it
received from E.ON Ruhrgas International GmbH (registration: District Court
Essen, number HRB 21974, registered address: Brüsseler Platz 1, 45131 Essen,
Germany, hereinafter - E.ON Ruhrgas International GmbH) the notification on
disposal of voting rights and the notification on the transactions in issuer's
securities concluded by the person closely associated with the manager of the
issuer, as well as the notification from UAB EPSO-G (legal entity code:
302826889, registered address: Juozapavičiaus g. 13, LT-09311 Vilnius,
Lithuania, hereinafter - UAB EPSO-G) on acquisition of voting rights and the
notification on the transactions in issuer's securities concluded by the person
closely associated with the manager of the issuer. According to the information
provided in these notifications, on 21 May 2014 E.ON Ruhrgas International GmbH
transferred and UAB EPSO‑G acquired 69,416,233 (sixty nine million four hundred
sixteen thousand two hundred thirty three) ordinary registered non-certificated
shares of the Issuer, granting 38.9% of votes in the general shareholders
meeting of the Issuer. 

After transfer of the shares of the Issuer E.ON Ruhrgas International GmbH does
not own any shares of the Issuer and UAB EPSO-G owns the shares of the Issuer
which grant 56.6% of votes in the general shareholders meeting of the Issuer.
The price of the acquired package of the shares is EUR 49,757,419 (forty nine
million seven hundred fifty seven thousand four hundred nineteen euros).
