Amber Grid - Notification on material event

Election of EPSO-G's Audit Committee under the Supervisory Board


On 12 September 2016, the General Meeting of Shareholders (GMS) of UAB EPSO-G,
which is the largest shareholder of AB Amber Grid (hereinafter – the Company),
elected for a four-year term EPSO-G Group's Audit Committee under the
Supervisory Board. 

Out of the number of UAB EPSO-G's Supervisory Board the following persons were
elected to the Audit Committee: Independent Member of the Supervisory Board Mr
Raimondas Rapkevičius, also holding the positions of the Deputy Director
General and Financial Director of UAB General Financing, which belongs to
Marginalen Banking Group, and Member of the Supervisory Board Audrius
Misevičius, Lithuanian Prime Minister's Advisor on Social Issues. 

To the position of the Independent Member of the Audit Committee the GMS
elected Mr Gediminas Šiušas, a professional in the area of finance, also
holding certificates of an international auditor.  Mr Gediminas Šiušas, who has
accumulated experience of more than 12 years in the fields of accounting,
financial analysis and audit, currently holds the position of Accounting
Director at UAB Western Union Processing Lithuania. 

The Audit Committee acts as UAB EPSO-G's Supervisory Board's advisory body in
the fields of internal control and operational risk management. Its main
functions consist in the supervision of the financial reporting and auditing
processes of the entire EPSO-G Group, ensuring compliance with the principles
of independence and objectivity of the Group's auditors and audit companies, as
well as the supervision of internal control, risk management and internal audit
systems and efficiency of business processes.
