2013-01-31 14:00:49 CET 2013-01-31 14:01:48 CET REGULATED INFORMATION Lietuvos Dujos AB - Notification on material eventRe: Terms and Conditions of the Spin-off of AB Lietuvos Dujos were prepared and submitted to the NCCPEVilnius, Lithuania, 2013-01-31 14:00 CET (GLOBE NEWSWIRE) -- On 30 January 2013 the Board of Directors of AB Lietuvos Dujos (hereinafter - the Company) approved the Terms and Conditions of the Spin-off of the Company (hereinafter - the Terms & Conditions). The members of the Board of Directors of the Company V. Golubev and K. Seleznev voted for the approval of the Terms & Conditions with a reservation (attached). The Terms & Conditions are prepared in accordance with the decision of the Extraordinary General Meeting of Shareholders of the Company of 28 May 2012 and the Resolution No O3-145 of the National Control Commission for Prices and Energy (hereinafter - the Commission) of 15 June 2012. The Terms & Conditions provide for the terms and conditions for unbundling part (i.e. natural gas transmission activity) of the Company, which continues the activities, and for establishing of the new company of the same legal form on the basis of the assets, rights and obligations attributed to such spin-off part. The spin-off shall be performed in accordance with the Civil Code of the Republic of Lithuania, the Law on Companies of the Republic of Lithuania and other legal acts. On 31 January 2013 the Terms & Conditions were submitted for coordination with the Commission, as provided for in the Law on the Implementation of the Law Amending the Law on Natural Gas of the Republic of Lithuania and the legal acts implementing the said law. Upon coordination of the Terms & Conditions with the Commission, a public notice on the spin-off and the possibility to get acquainted with the Terms & Conditions as well as other documents related to the spin-off will be made in accordance with the procedure established by the legal acts of the Republic of Lithuania.
