On application of interim measures in the case on invalidation of the Articles of Association of the company and of the share subscription agreement


Alytus, Lithuania, 2012-05-18 08:01 CEST (GLOBE NEWSWIRE) -- On 17 May 2012
company group ALITA AB (hereinafter, the “Company”) received a ruling from the
Kaunas Regional Court regarding application of the following interim measures,
requested by the claimant of the case Plass Investments Limited: 

(i) to seize all the shares of the Company owned by the respondent FR&R Invest,
IGA S.A. (hereinafter, “FR&R”), restricting the right of FR&R to manage and
dispose of the shares of the Company; 

(ii) to prohibit the respondents FR&R and Vytautas Junevičius from making use
of the voting rights carried by their shares in the Company, when taking
decisions on the increase or reduction of the authorised capital of the
Company, on amendments to its Articles of Association and appropriation of
profit (loss); 

(iii) to prohibit the Company, as the respondent, from conducting any
transactions in connection with the transfer of securities (shares), real and
movable property, trademarks (including, without limitation, AB Anykščių
Vynas); 

(iv) to prohibit the respondent FR&R from making use of any personal rights
granted by shares in the Company, the use of which makes it possible for FR&R
to acquire new shares in the Company. 



In the opinion of management of the Company, the interim measures were applied
in the absence of any legal grounds, further, they are not related to the
requirements of the claim of Plass Investments Limited, examined in this case
(i.e. to invalidate the Articles of Association of the Company and the share
subscription agreement). Consequently, the Company intends to provide to the
court a separate appeal regarding cancellation of the aforementioned interim
measures.
