Notice about the Resignation of the General Director and The Management Board Meeting that didn't take place

According to the financial data of AB GUBERNIJA on 31 December, 2007 and
considering the increase of authorized capital of the company on 14 January,
2008, AB GUBERNIJA equity capital became smaller than ½ indicated one at the
Articles of Association. Additionally the resignation of the General Director
Romas Bubnelis was received. Consequently the Management Board Meeting was
called on 16 April, 2008. 
Agenda of the planned Meeting:
1. Resignation of the General Director.
2. Nomination of the new General Director. 
3. Amendment to the agenda of the Ordinary General Meeting of AB GUBERNIJA:
Restoration of equity capital up to ½ indicated one at the Articles of
Association. 
4. Confirmation of the agenda of the Ordinary General Meeting of AB GUBERNIJA.

The Management Board Meeting didn't take place because of R.Dunauskas and
L.Dunauskaite (Management Board members) refused to participate. 
Vytautas Liubinas AB Gubernija Chairman of Management Board accepted the
resignation of the General Director Romas Bubnelis on 17 April, 2008.
